VigiLife, Inc., (“VigiLife” or “we”), respect your privacy and are committed to protecting it through our compliance with this policy, and we are committed to helping you understand how we manage and protect it. This policy (“Privacy Policy,” or “Policy”) describes the types of information we may collect from you or that you may provide when you visit the website https://www.vigilife.com/ (the “Site”) or purchase, download, install, register with, access, or use our mobile applications, including without limitation the SafeGuard® application (collectively, the “Apps”). This Policy describes our practices for collecting, using, maintaining, protecting, and disclosing that information. This Policy applies to information we collect:

  • On the Site.
  • In the Apps.
  • In email, text, and other electronic messages between you and the Site or sent through or in connection with the Apps.
  • Through other mobile and desktop applications you download from the Site or the Apps, which provide dedicated non-browser-based interaction between you and the Site, the Apps, or such other applications.

It does not apply to information that:

  • We collect offline or through any other means, including on any other website or apps operated by VIGILIFE or any third party, including third-party websites you may access through the Apps or the Site;
  • Any third party collects, including through any application or content that may link to or be accessible from or on the Site or the Apps; or
  • You provide to or is collected by any third party (see Third-Party Use of Cookies and Other Tracking Technologies).

Our websites and apps, and these third parties, may have their own privacy policies, which we encourage you to read before providing information on or through them.

Please read this Policy carefully to understand our policies and practices regarding your information and how we will treat it. If you do not agree with our policies and practices, your choice is not to use our Site and not to download, register with, install, or use the Apps. By accessing or using the Site or downloading, registering with, installing, or using the Apps, you agree to this Privacy Policy. This Privacy Policy may change from time to time (See Changes to Our Privacy Policy). Your continued use of the Site and/or the Apps after we make changes is deemed to be acceptance of those changes, so please check the Privacy Policy from time to time for updates.

We collect and use your information in a centralized way. This may include your credentials; your name and contact details; payment information; information about your activities, your interests and preferences; insights about your finances or your business; the content you place in our Site and/or Apps; and information we have collected about you from third-party sources.

Some experiences and services within the Site and/or the Apps allow you to interact with an organization (such as your employer). If you are granted access to an organization or household account (for example, a business’s account), the owner of the organization or a designated administrator may be able to control and administer details of your account, for example, by deciding your access rights; making decisions about your personal information (such as details about your health); or requiring you to take certain actions (for example, use location tracking to clock in for a shift). If your access rights are amended by the owner or designated administrator, then you may lose access to the information that is in the control of the organization. Similarly, your use of the Site and/or the Apps as part of an organization’s account may be subject to the organization’s policies, which may be different from this Policy. We are not responsible for the privacy or security practices of other organizations, and you should consider both the organization’s policies and whether you are comfortable enabling the organization with access to your information prior to connecting to their services.

Some services and experiences in the Site and/or Apps require you to provide information for it to function. If you do not wish to provide the required information, you may not be able to use certain features.

Children Under the Age of 13

Neither our Site nor the Apps are intended for children under 13 years of age. No one under age 13 may provide any information to or on the Site or the Apps. We do not knowingly collect information from children under 13. If you are under age 13, do not use or provide any information on the Site or on or through any of its features/register on the Site, download, register with, install, or use the Apps, make any purchases through the Site or the Apps, use any of the interactive or public comment features of the Site or the Apps, or provide any information about yourself to us, including your name, address, telephone number, email address, or any screen name or user name you may use. If we learn we have collected or received personal information from a child under 13 years of age without verification of parental consent, we will delete that information. Information We Collect About You and How We Collect It

The personal information that we receive about you depends on the context of your interactions with the Site or Apps, how you configure your account, and the choices that you make, including your privacy settings. Personal information that you provide may also depend upon what services or experiences you use, your location, and applicable law. The data collected varies depending on which device you use. When your device syncs with our applications or software, data recorded on your device may be transferred from your device to our servers. We may collect several types of information from and about users of our Site or the Apps. When you access or use the Site or download, register with, or use the Apps, we may collect or ask you provide:

  • Information by which you may be personally identified, such as name, age, gender, state of residence, ethnicity, postal address, e-mail address, telephone number, account identification numbers, account information, devices registered, account status, passwords, and/or credit card information, information about your preferences or interests, and/or any other identifier by which you may be contacted online or offline (“Personal Information”);
  • Information that is about you but individually does not identify you, such as technical or device-specific information and geo-location information (See Information We Collect Through Automatic Data Collection and Tracking Technologies).
  • Information about your health status, demographic information, and medical history and information, such as height/weight, current and previous medication use, family history, and health habits (“Health Information”) (See, also, Information We Collect Through Automatic Data Collection and Tracking Technologies).
  • Information about your usage of our offerings (See Information We Collect Through Automatic Data Collection and Tracking Technologies).

We may collect this information:

  • Directly from you when you provide it to us directly or through the use of interactive or feedback functions on the Site or the Apps. See Information You Provide to Us.
  • Automatically as you navigate through the Site or the Apps. Information collected automatically may include usage details, IP addresses, and information collected through cookies, web beacons, and other tracking technologies.   • From third parties, for example, our business partners. See Third-Party Use of Cookies and Other Tracking Technologies.

You are not required to provide the personal data that we have requested. However, if you choose not to do so, in many cases we will not be able to provide you with our products or services or respond to requests you may have.

Information You Provide to Us

The information we may collect on or through our Site or the Apps may include:

  • Information that you provide by filling in forms on our Site or the Apps, including Personal Information and Health Information. This includes information provided at the time of registering to use our Site, the Apps, subscribing to our service, posting material, commenting or contributing to the Site or the Apps, or requesting further services. We may also ask you for information when you report a problem with our Site or the Apps.
  • Records and copies of your correspondence (including email addresses and phone numbers), if you contact us.
  • Your search queries on the Site or the Apps.
  • Details of transactions you carry out through our Site or the Apps. You may be required to provide financial information before subscribing to our offerings.
  • Your responses to surveys that we might ask you to complete for research purposes.

Information We Collect Through Automatic Data Collection and Tracking Technologies

As you navigate through and interact with our Site or download, access, and use the Apps, we may use automatic data collection technologies to collect certain information about your equipment, browsing actions, and patterns, including:

  • Details of your visits to our Site or the Apps, including traffic data, location data, logs, and other communication data and the resources that you access and use on or through the Site or the Apps, and usage data about your activity on and use of our offerings, such as app launches within our services, product interaction, crash data, diagnostic data, and other usage date.
  • Information about your computer or mobile device and internet connection, including your IP address, the device’s unique device identifier, device-specific information, computer type, computer or device operating system, browser type, mobile network information, and the device’s telephone number.
  • Sensor information about one’s physical or mental condition, fitness information, information that can be used to make inferences about or detect the health status of an individual, traffic data, logs, distance traveled, calories burned, weight, heart rate, sleep stages, active minutes, precise geolocation data, and other communication data and the resources that you access and use on the Site or the Apps.
  • Information about your usage of our offerings, including without limitation usage data about your activity on and use of our offerings, such as app launches within our services, product interaction, crash data, diagnostic data, and other usage date.
  • Metadata and other information associated with other files stored on your device. This may include, for example, photographs, audio and video clips, personal contacts, and address book information.
  • Real-time information about the location of your device and/or your physical location, including without limitation precise geolocation data, including data from GPS signals, device sensors, Wi-Fi access points, and cell tower IDs.
  • Personal information.

If you do not want us to collect this information from the Site, do not use the Site or the Apps.

If you do not want us to collect this information from or through the App, see Choices About How We Use and Disclose Your Information. Note, however, that opting out of the Apps’ collection of location information will cause their location-based features to be disabled, and you may not be able to use certain features.

The information we collect automatically may include Personal Information or Health Information, or we may maintain it or associate it with Personal Information or Health Information we collect in other ways or receive from third parties. It helps us to improve our Site and the Apps and to deliver a better and more personalized service. See How We Use Your Information.

The technologies we may use for this automatic data collection may include:

  • Cookies (or browser or mobile cookies). A cookie is a small data file that can be placed on your hard drive or smartphone. We use may use cookies to collect, store, and sometimes track information for statistical purposes to improve the products and services we provide and to manage our networks. We may use a cookie to save your settings and to provide customizable and personalized services when you access the Site or the Apps. It may be possible to refuse to accept browser or mobile cookies by activating the appropriate setting on your browser or smartphone. However, if you select this setting you may be unable to access certain parts of our Site and/or the Apps. Unless you have adjusted your browser or mobile settings so that it will refuse cookies, our system will issue cookies when you direct your browser or smartphone to our Site and/or the Apps.
  • Flash Cookies. Certain features of our Site may use local stored objects (or Flash cookies) to collect and store information about your preferences and navigation to, from, and on our Site. Flash cookies are not managed by the same browser settings as are used for browser cookies.   • Web Beacons. Pages of the Site, the Apps, and our e-mails may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags, and single-pixel gifs) that permit us, for example, to count users who have visited those pages or opened an email and for other related website or app statistics (for example, recording the popularity of certain website or app content and verifying system and server integrity).
  • IP Addresses. An IP address is a number that’s automatically assigned to your computer whenever you’re surfing the web. Web servers, the computers that “serve” web pages, automatically identify your computer by its IP address. Company collects IP addresses for purposes of system administration, to report aggregate information to third parties and to track the use of the Site. When visitors request pages from the Site or click on a link in a mailing sent through the Service our servers log the visitors’ IP addresses. We reserve the right to use IP addresses to identify a visitor or list member when it will enhance the user’s experience or if we feel it is necessary to enforce compliance with the Site’s policies or to protect Company, the Site, its visitors, the Service, our Internet Service Provider partners, the list members or others.

  • Log Files. As is true of most websites, we gather certain information automatically and store it in log files. This information may include Internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, operating system, date/time stamp, and/or clickstream data. We do not link this automatically collected data to other information we collect about you.
  • Local Storage Objects. We use Local Storage, such as HTML5, to store content information and preferences. Third parties with whom we partner to provide certain features on our website also use HTML5 to collect and store information. Various browsers may offer their own management tools for removing HTML5.
  • Profile. We store information that we collect through cookies and clear gifs to create a “profile” of your preferences. We tie your personal information to information in the profile to provide tailored promotions and marketing offers or to improve the content of the Site for you. We do not share your personal identifiable information with third parties without your permission, but we may share obfuscated information with approved third parties

Related Third Parties

To provide the Service to you, we may sometimes use other businesses to perform certain specialized services such as data processing or other technology services.  We may provide your personal information to specialized third parties for data analysis to improve our Site or Apps and to improve the accuracy of our products or services. In such instances, we may provide your personal information to those businesses but they are not permitted to retain or use your information for any other purpose.

When you use the Site, the Apps, or their content, certain third parties may provide us with information about you or your device, including those you specifically request or authorize or with which you are affiliated (for example, your employer). Accordingly, we may collect such information:

  • When you sign into a third-party service with your account or when you connect your account to a third-party service.
  • From your employer or the organization in connection with which you use or access the Site and/or the Apps. As a result of those connections, others may be able to input information about you. For example, your employer may input information about your work activity. You may also be able to input or process information about others. If you input information about others into our platform, you must only do so if you have first received the appropriate rights and permissions to do so, including by getting advanced written consent, if required by applicable law.
  • From your service providers. If you choose to sync a non-VIGILIFE account/service with your account, we will receive information from that account/service according to your settings with that account/service.
  • From communication providers & social networks. If you give us permission, we may collect information from email providers, communication providers and social networks.

How We Use Your Information

We may use the information we collect from you in the following way and for the following reasons:

  • To present to you our Site, the Apps, and/or their contents, and any other information, products, or services that you request from us.
  • To create your account.
  • To respond to customer service requests from you and support your needs.
  • To fulfill any other purpose for which you provide it.
  • To provide you with notices about your account or subscription, including expiration and renewal notices.
  • To carry out our obligations and enforce our rights arising from any contracts entered into between you and us, including for billing and collection.
  • To notify you about changes to our Site, when App updates are available, and/or any products or services we offer or provide through them.
  • To allow you to participate in interactive features on our Site and/or the Apps.
  • To personalize and/or improve your experience on the Site and/or the Apps.
  • To enable use to estimate our audience size and usage patterns, speed up your searches, and recognize you when you return to our Site or the Apps.
  • To develop health-related products and improvement activities.
  • For research studies and issue research findings and related reports, which will not identify you.
  • To aggregate user information to better understand our users’ needs.
  • To improve our Site or Apps interface, experience, or functionality.
  • For specialized Third Party use to improve our Site or App algorithms or insights and other products or services.
  • To tailor our content to engaged with the interested online community.
  • To carry out our obligations and enforce our rights arising from any misuse of the Site and/or the Apps.
  • In any other way we may describe when you provide the information.
  • To solicit feedback to improve our products and services.
  • To run our promotions, surveys, and sales.
  • To analyze your use of the Site or Services and gather feedback to allow us to improve the Site or Services and the overall user experience.
  • For any other purpose with your consent.

We use location information we collect to provide real-time biophysiological and environmental readings to easily keep track of your health and status. This data is analyzed to identify and prevent potential issues proactively and solve problems before they become life-threatening incidents.

We may also use your information to contact you about our own and third-parties’ goods and services that may be of interest to you. If you do not want us to use your information in this way, please adjust your user preferences in your account profile. We may also use your email address to send you information and updates pertaining to your order, or to respond to inquiries, questions, or requests. If you decide to opt-in to our mailing list, you will receive emails that may include company news, updates, and notifications when new content, products, or services are available. If at any time you would like to unsubscribe from receiving future emails or communications, we include detailed unsubscribe instructions within each communications. Disclosure of Your Information

We may disclose aggregated information about our users, and information that does not identify any individual or device, without restriction.

In addition, we may disclose Personal Information or Health Information that we collect or you provide to us:

  • To contractors, service providers, and other third parties we use to support and improve our business, evaluate your use of the Apps, compile reports on activity, analyze data, and/or collect and evaluate other information relating to the Apps.
  • To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of VIGILIFE’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Information and Health Information held by VIGILIFE about our Site or App users is among the assets transferred.
  • In an ongoing effort to better understand our users, the Apps, and our products and services, we may analyze certain information in anonymized and aggregate form to operate, maintain, manage, and improve the Apps and/or such products and services. This aggregate information does not identify you personally. We may share and/or license this aggregate data to our affiliates, agents, business and promotional partners, and other third parties. We may also disclose aggregated user statistics to describe the Apps and these products and services to current and prospective business partners and investors and to other third parties for other lawful purposes.
  • To third parties to market their products or services to you if you have not opted out of these disclosures.
  • To fulfill the purpose for which you provide it.
  • For any other purpose disclosed by us when you provide the information.
  • With your consent.
  • When you connect with a partner or vendor that integrates with our Site and/or Apps. You may be provided with offers, products, and services from third-party companies who integrate with our offerings (“Platform Partner”). If you choose to interact with a Platform Partner, apply for their services or offerings or otherwise link or sync your account to a Platform Partner’s product or service, you consent and direct us to share your information, including Personal Information, to the Platform Partner providing the service or offering. For example, when we send your Personal Information to partners in order to generate offers for you to review, when we send your application information directly to our partners, or when we send you to the partner’s site for you to provide the information directly to them. In some cases, if you click through to go to a Platform Partner’s site, you will automatically be sending your Personal Information to that Platform Partner. When this happens, you will still have to submit your application on the Platform Partner’s site. Remember that any information you provide to a Platform Partner, whether through us or on your own, will be subject to their privacy practices and terms and conditions.
  • When you connect to your social media account. Some of our features may now or in the future enable you to connect to a social media account or share information on social media platforms, like Facebook and Twitter. Any information you choose to share on social media may potentially be visible to a global audience and will be subject to the social media provider’s privacy policies (not this Policy). You should take care only to share information on social media that you are comfortable sharing.

We may also disclose your Personal Information or Health Information:

  • To comply with any court order, law, or legal process, including to respond to any government or regulatory request.
  • To enforce or apply our rights arising from any contracts entered into between you and us, including the Terms of Use [https://www.vigilife.com/terms-of-use], the App EULA [https://www.vigilife.com/eula], and other agreements, including for billing and collection purposes.
  • If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of VIGILIFE, our customers, or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection and credit risk reduction.

Choices About How We Use and Disclose Your Information

We strive to provide you with choices regarding the Personal Information and Health Information you provide to us. We have created mechanisms to provide you with control over certain uses and disclosures of your information:

A. Tracking Technologies

You can set your browser to refuse all or some browser cookies, or to alert you when cookies are being sent. To learn how you can manage your Flash cookie settings, visit the Flash player settings page on Adobe’s Website. You can choose whether or not to allow the Apps to collect information through other tracking technologies. If you disable or refuse cookies or block the use of other tracking technologies, please note that some parts of the Site or the Apps may then be inaccessible or not function properly.

B. Disclosure of Your Information for Promotional Purposes.

If you do not want us to share your personal information with unaffiliated or non-agent third parties for promotional purposes, you can opt-out by checking the relevant box located on the form on which we collect your data (the registration form). You can also always opt-out by logging into the Site and/or the Apps, as the case may be, and adjusting your user preferences in your account profile by checking or unchecking the relevant boxes or by sending us an email stating your request to privacy@vigilife.com.

C. Location Information

You can choose whether or not to allow the Apps to collect and use real-time information about your device’s location through the device’s privacy settings. If you block the use of location information, some parts of the Apps may then be inaccessible or not function properly.

D. Promotion by the Company

If you do not want us to use your contact information to promote our own or third parties’ products or services, you can opt-out by checking the relevant box located on the form on which we collect your data (the registration form) or at any other time by logging into the Site and/or the Apps, as the case may be, and adjusting your user preferences in your account profile by checking or unchecking the relevant boxes or by sending us an email stating your request to privacy@vigilife.com.

E. Disclosure of Your Information for Third-Party Marketing

If you do not want us to share your personal information with unaffiliated or non-agent third parties for marketing purposes, you can opt-out. You can opt-out by logging into the Site and/or the Apps, as the case may be, and adjusting your user preferences in your account profile by checking or unchecking the relevant boxes or by sending us an email stating your request to privacy@vigilife.com.

We do not control third parties’ collection or use of your information to serve interest-based content. However these third parties may provide you with ways to choose not to have your information collected or used in this way. You can opt out of receiving targeted ads from members of the Network Advertising Initiative (“NAI”) on the NAI’s website.

Communications from the Site

Service Email
We will send you service-related announcements, which are not promotional in nature, on occasions when it is necessary to do so. For example, if our service is temporarily suspended for maintenance, we may send you email notification. You do not have an option to opt out of these emails.

Customer Service
Based upon the information you provide us, we will communicate with you in response to your inquiries, to provide the services you request, and to manage your account. We may communicate with you by email or telephone.

Newsletters and Promotions
We may provide you the opportunity to opt-in to additional newsletters or promotional communications sent by email. If you have opted in or otherwise qualify to receive these forms of communication, we will use your name and email address to communicate with you. Out of respect for your privacy, we provide you a way to unsubscribe by following the instructions included in each communication.

Blog
Our website offers publicly accessible blogs. Our blog is managed by a third-party application that may require you to register to post a comment. We do not have access or control of the information posted to the blog. You will need to contact or login into the third-party application if you want the personal information that was posted to the comments section removed. To learn how the third-party application uses your information, please review their privacy policy.

Testimonials
We display personal testimonials of satisfied customers on our website in addition to other endorsements. With your consent we may post your testimonial along with your name. If you wish to update or delete your testimonial, you can contact the company Privacy Office by emailing us at privacy@vigilife.com.

Social Media Widgets
Our website includes Social Media Features, such as the Facebook button and Twitter Tweet button or interactive mini-programs that run on our website. These Features may collect your IP address, which page you are visiting on our website, and may set a cookie to enable the Feature to function properly. Social Media Features and Widgets are either hosted by a third party or hosted directly on our website. Your interactions with these Features are governed by the privacy policy of the company providing it.

Accessing and Correcting Your Information

You can review and change your personal information by logging into the Site or the Apps and visiting your account profile page.

You may send us an email at privacy@vigilife.com to request access to, correct or delete any Personal Information that you have provided to us. We cannot delete your personal information except by also deleting your user account. We may not accommodate a request to change information if we believe the change would violate any law or legal requirement or cause the information to be incorrect.

Proper access and use of information provided on the Site or the Apps is governed by our terms of use https://www.vigilife.com/privacy.

Data Security

The security of your information is important to us. We maintain measures designed to secure your Personal Information and Health Information from accidental loss and from unauthorized access, use, alteration, and disclosure. All information you provide to us is stored on secure servers behind firewalls. Any payment transactions will be encrypted.

That said, the safety and security of your information ultimately depends on you. Where we have given you (or where you have chosen) a password for access to certain parts of the Site or the Apps, you are responsible for keeping this password confidential. We ask you not to share your password with anyone. We urge you to be careful about giving out information in public areas of the Site or the Apps like message boards or comment sections. The information you share in public areas may be viewed by any user of the Site or the Apps.

Unfortunately, the transmission of information via the internet and mobile platforms is not completely secure. We make no guarantees on the security of your Personal Information or Health Information transmitted through our Site or the Apps. Any transmission of Personal Information or Health Information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on the Site or the Apps.

We follow generally accepted industry standards to protect the information submitted to us, both during transmission and once we receive it. No method of transmission over the Internet, or method of electronic storage, is 100% secure, however. Therefore, while we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security. Information Retention

Unless you specifically ask us to delete your personal information, we retain your personal information as long as it is necessary to comply with our data retention requirements and provide you with services and the benefits of the Site and/or the Apps. However, even if you request a deletion, we may be required to maintain your information for as long as necessary to (i) comply with our legal or regulatory compliance needs (e.g. maintaining records of transactions you have made with us); (ii) to exercise, establish or defend legal claims; and/or (iii) to protect against fraudulent or abusive activity on our service.

There may be occasions where we are unable to fully delete, anonymize, or de-identify your information due to technical, legal, regulatory compliance or other operational reasons. Where this is the case, we will take reasonable measures to securely isolate your personal information from any further processing until such time as we are able to delete, anonymize, or de-identify it.

Change of Control / Asset Transfer
As the Company develops, we may buy other businesses or their assets or sell all or parts of our business assets. Customer information is generally one of the business assets involved in such transactions. Thus, in the event that the assets of the Company in whole or in parts are acquired by a third-party, customer information, including any visitor information collected through the Site or the Service, would be one of the transferred assets. In the event of a corporate change in control or sale of all or parts of our business assets our users will be notified in accordance with the “Changes to this Policy” section of the policy if their personal information is provided to the new corporate entity or asset purchaser.

Changes to Our Privacy Policy

It is our policy to post any changes we make to our Privacy Policy on this page. The date the Privacy Policy was last revised is identified at the top of the page. You are responsible for ensuring we have an up-to-date active and deliverable email address for you, and for periodically visiting our Site and this Privacy Policy to check for any changes.

  • We will not share your non-public personal information with unaffiliated third parties unless you authorize us to make those disclosures without your consent, other than as permitted by law. Further, we will not share credit reports with our affiliates without your consent.

Deletion. You may have the right, under certain circumstances, to request that we delete the personal information you have provided to us.
